Terms & Conditions

1.Who you are contracting with
YardPass is provided by Yardpass Systems ("we", "us"). By creating an account or continuing to use YardPass you agree to these terms on behalf of your organisation, and you confirm you have authority to bind it. These terms are governed by the laws of England and Wales. YardPass is a business service and is not offered to consumers.
2.The service
YardPass is gate check-in, bay management and audit software for logistics sites. We grant you a limited, non-exclusive, non-transferable right to use it for your sites during your subscription.
3.Your account
You are responsible for your staff accounts, PINs and the accuracy of the booking and manifest data you upload. Keep credentials confidential and tell us promptly about any unauthorised use.
4.Acceptable use
You must not misuse YardPass, including by:
- using it for anything unlawful, fraudulent or for spam;
- infringing anyone's intellectual property;
- introducing malware, probing or testing vulnerabilities, scraping, or interfering with the service's security;
- reverse engineering, reselling, or getting around usage limits.
5.Intellectual property
Yardpass Systems owns YardPass and all related software, documentation and branding. You keep ownership of your data, and you give us a limited licence to host and process it only to provide the service.
6.Payments, billing and our reseller
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, renewal and cancellation are also governed by Paddle's Buyer Terms. Fees are a one-off setup fee and a monthly subscription, shown on our Pricing page. Subscriptions renew monthly until cancelled. Refunds are covered by our Refund Policy.
7.Service levels
We aim for 99.5% monthly availability, excluding announced maintenance, but we do not guarantee the service will be uninterrupted or error-free. If we miss the target, you may request a service credit of up to 10% of that month's fee within 30 days.
8.Audit records and cold-storage operations
YardPass provides time-stamped audit records to support your operations. It is not a temperature-monitoring or food-safety control system; you remain responsible for your own regulatory, cold-chain and HACCP compliance.
9.Limitation of liability
To the fullest extent the law allows, we disclaim implied warranties, and our total liability in any 12-month period is capped at the fees you paid in that period. We are not liable for loss of profit, stock, spoilage, demurrage, data or goodwill, or indirect or consequential loss. Nothing limits liability for death or personal injury caused by negligence, or for fraud.
10.Suspension and termination
We may suspend or end access for material breach, non-payment, security or fraud risk, or repeated or serious breaches of these terms. You may cancel at any time. After your access ends we keep your data for 30 days so you can export it, then delete it unless the law requires otherwise.
11.Data protection
For driver and staff data you are the controller and we act as your processor, as described in our Privacy Policy.
